Terms of Service

These Terms apply to the Procore2Acumatica service at procore2acumatica.com, operated by MIX2MAX, LLC.

1. Parties and Acceptance

These Terms of Service govern your access to and use of Procore2Acumatica, an AI-assisted Procore and Acumatica integration service available at procore2acumatica.com. The service is operated by MIX2MAX, LLC. MIX2MAX, LLC also operates the development company website at mix2max.com.

By creating an account, clicking to accept these Terms, signing an order form, or using the service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you use the service for an organization, you represent that you have authority to bind that organization.

2. The Service

Procore2Acumatica helps customers connect Procore and Acumatica, review AI-assisted field mappings, run bidirectional sync workflows, monitor sync activity, and handle exceptions or conflicts. The service may include proof-of-concept work, onboarding, managed implementation, support, and subscription features.

Procore2Acumatica is not affiliated with, endorsed by, or sponsored by Procore Technologies, Inc., Acumatica, Inc., Clerk, Stripe, or any other third-party platform unless expressly stated in a signed agreement.

3. Accounts, Authority, and Customer Responsibilities

You are responsible for maintaining the confidentiality of your account, limiting access to authorized users, and ensuring that anyone connecting Procore, Acumatica, or billing accounts has the right to do so.

You are responsible for the accuracy, legality, and quality of the data you provide or make available through connected systems. You must review and approve mapping rules, sync settings, and automation behavior before using them for production financial workflows.

You may not use the service to violate law, infringe rights, transmit malicious code, disrupt the service, reverse engineer the platform, or use non-public service information to build or benchmark a competing product without written permission from MIX2MAX, LLC.

4. Third-Party Services

The service depends on third-party platforms and service providers, including Procore, Acumatica, Clerk for authentication, Clerk Billing and Stripe for subscription billing and payments, Supabase, Vercel, Fly.io, Inngest, Hookdeck, Anthropic or other AI providers, LangSmith, Resend, Sentry, and other infrastructure or support providers.

Your use of connected third-party services is also governed by their own terms, policies, API limits, availability, permission models, and data handling practices. MIX2MAX, LLC is not responsible for outages, API changes, data issues, or policy changes controlled by third parties.

5. Billing, Plans, and Payment

Paid subscriptions, onboarding, proof-of-concept work, implementation services, and other fees are billed by MIX2MAX, LLC. Charges may appear under MIX2MAX, LLC, Clerk Billing, Stripe, or a related payment processor descriptor.

Subscription pricing, plan limits, included features, and billing intervals are shown during checkout, in an order form, or in the applicable pricing page. Unless a signed agreement states otherwise, fees are due in advance and are non-refundable except where required by law.

You authorize MIX2MAX, LLC and its payment processors to charge the payment method you provide for applicable fees, taxes, renewals, and approved add-ons. If payment fails, we may suspend or limit access until the account is brought current.

6. AI-Assisted Output and Financial Workflows

The service may use AI systems to analyze schemas, propose mappings, summarize sync issues, or recommend next actions. AI output can be incomplete or incorrect and must be reviewed by qualified personnel before being used for accounting, ERP, payment, invoice, budget, project, tax, legal, or compliance decisions.

The service is an integration and automation tool. It does not provide accounting, tax, legal, audit, insurance, or financial advice. You remain responsible for reviewing records in Procore, Acumatica, and your other systems of record.

7. Customer Data and Security

Customer Data means data, files, records, credentials, metadata, schemas, mappings, logs, and other information you submit to or make available through the service. You retain ownership of Customer Data.

You grant MIX2MAX, LLC the limited rights needed to host, process, transmit, analyze, secure, support, and improve the service for you. We use reasonable administrative, technical, and organizational safeguards, but no system can be guaranteed to be completely secure.

8. Intellectual Property

MIX2MAX, LLC owns the service, software, workflows, designs, documentation, templates, know-how, and related intellectual property, excluding Customer Data and third-party platform materials.

Subject to these Terms and payment of applicable fees, MIX2MAX, LLC grants you a limited, non-exclusive, non-transferable right to use the service for your internal business operations.

9. Confidentiality

Each party may receive non-public business, technical, financial, operational, or security information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these Terms or a related agreement.

10. Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, misuse the service, or if continued service operation would violate law or third-party platform requirements.

You may stop using the service at any time. Termination does not relieve you of payment obligations incurred before termination. Some provisions, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, and dispute terms, survive termination.

11. Disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, MIX2MAX, LLC disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and that integrations or AI output will meet your requirements.

12. Limitation of Liability

To the fullest extent permitted by law, MIX2MAX, LLC will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, business, goodwill, or business interruption.

To the fullest extent permitted by law, MIX2MAX, LLC aggregate liability for claims relating to the service will not exceed the amounts you paid to MIX2MAX, LLC for the service giving rise to the claim during the three months before the event giving rise to liability.

13. Changes

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users through the service, email, or another appropriate method. Continued use after changes become effective means you accept the updated Terms.
